Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Manna wallet application, including its mobile applications, website, and related services (collectively, the "Services"). The Services are provided by Manna Open Economy LLC ("Manna," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
1. Acceptance of Terms
By using the Services, you confirm that:
- You have read, understood, and agree to these Terms.
- If you are using the Services on behalf of an entity, you are authorized to accept these Terms on behalf of that entity.
2. Description of Services
Manna is a non-custodial wallet application that allows you to manage digital assets, including Bitcoin and Liquid Bitcoin (L-BTC), on the Bitcoin and Liquid Networks. The Services enable you to:
- Generate and manage wallet addresses.
- Request payments via Bolt11 invoices.
- Receive L-BTC through swaps facilitated by third-party services like Boltz, which converts Lightning payments to L-BTC.
- Store and manage an address pool for receiving L-BTC, maintained in Supabase.
Manna does not take custody of your digital assets or private keys. You are solely responsible for maintaining the security of your private keys and seed phrases.
3. Eligibility
You may not use the Services if:
- You are prohibited from using the Services under applicable laws.
- You are located in a jurisdiction where the use of the Services is restricted or prohibited.
Manna reserves the right to refuse access to the Services at our sole discretion.
4. Non-Custodial Nature
Manna is a non-custodial wallet, meaning:
- You control your digital assets and private keys.
- Manna does not store, control, or have access to your private keys or digital assets.
- You are responsible for safeguarding your private keys, seed phrases, and any other credentials used to access your wallet. Manna is not liable for any loss of access to your digital assets due to loss of credentials.
5. Third-Party Services
The Services integrate with third-party services, including:
- Boltz: Used to facilitate swaps between Lightning payments and L-BTC.
- Supabase: Used to store and manage your address pool for receiving L-BTC.
- Firebase Analytics: Used to analyze usage patterns and improve the Services.
- Firebase Notifications: Used to send push notifications, such as transaction updates.
Your use of these third-party services is subject to their respective terms of service and privacy policies. Manna is not responsible for the performance, availability, or actions of these third-party services. You acknowledge that transactions initiated through the Services, such as swaps, are executed by third-party services and not by Manna.
6. User Responsibilities
You agree to:
- Use the Services in compliance with all applicable laws, including anti-money laundering, anti-terrorism, and export control laws.
- Not use the Services for any illegal or unauthorized purpose, including fraud, money laundering, or terrorist financing.
- Not attempt to reverse engineer, decompile, or otherwise interfere with the Services.
- Maintain the security of your device and credentials used to access the Services.
7. Risks
You acknowledge the following risks associated with using the Services:
- Digital Asset Risks: Digital assets like Bitcoin and L-BTC are volatile and may lose value. Manna is not responsible for any financial losses.
- Third-Party Service Risks: Swaps and other transactions rely on third-party services like Boltz, which may fail, experience outages, or be subject to hacks.
- Security Risks: If your private keys or seed phrases are compromised, your digital assets may be stolen. Manna is not liable for such losses.
- Regulatory Risks: Changes in laws or regulations may impact your ability to use the Services or hold digital assets.
8. Fees
Manna may charge fees for using certain features of the Services, such as requesting payments or processing swaps. Any applicable fees will be presented to you at the time of the transaction for your approval. Additionally, you may incur fees when using third-party services (e.g., Boltz swap fees, Liquid Network transaction fees). You are responsible for all fees associated with your use of the Services, including Manna fees and third-party fees.
9. Termination
Manna may suspend or terminate your access to the Services at any time, with or without notice, if:
- You violate these Terms.
- We suspect fraudulent or illegal activity.
- We are required to do so by law.
You may terminate your use of the Services by uninstalling the Manna app and ceasing to use the Services. Termination does not affect any obligations or liabilities accrued prior to termination, including any unpaid fees.
10. Limitation of Liability
To the fullest extent permitted by law, Manna, its affiliates, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or digital assets, arising out of or in connection with your use of the Services. Manna's total liability to you will not exceed $100.
11. Indemnification
You agree to indemnify and hold harmless Manna and its affiliates from any claims, losses, damages, liabilities, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, violation of these Terms, or violation of any applicable laws.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Kansas, USA, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in Kansas, and the arbitrator's decision will be final and binding. You agree that any arbitration will be conducted on an individual basis, and you waive the right to participate in a class action or similar proceeding.
13. Changes to These Terms
Manna may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or within the app. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.
